1. Acceptance of Terms

By downloading, installing, or using the CalSpace mobile application or website calspace.ai (collectively, the "Service"), you agree to be bound by these Terms of Use ("Terms"). These Terms constitute a legally binding agreement between you and CALSPACE PTE. LTD. (UEN: 202620894C) ("CalSpace", "we", "us", or "our"). If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 13 years of age to use CalSpace. By using the Service, you represent and warrant that you are at least 13 years old and have the legal capacity to enter into these Terms. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

3. Account Registration and Security

To access certain features of the Service, you must create an account. You agree to:

- Provide accurate, current, and complete information during registration

- Maintain the security and confidentiality of your login credentials

- Notify us immediately of any unauthorised access to your account

- Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently or abusively.

4. Subscription and Payment

CalSpace offers a free trial period followed by a paid subscription to access premium features.

- Free Trial: New users receive a 7-day free trial. The trial automatically converts to a paid subscription at the end of the trial period unless cancelled beforehand.

- Billing: All payments are processed by Apple through its in-app purchase system. We do not collect or store your payment information directly.

- Cancellation: You may cancel your subscription at any time through your iPhone Settings. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused periods.

- Refunds: Refund requests are handled by Apple in accordance with Apple's refund policy. CalSpace does not issue direct refunds.

- Price Changes: We reserve the right to change subscription pricing at any time. We will provide reasonable notice of any price changes before they take effect.

5. Nutritional Information Disclaimer and Health Warning

PLEASE READ THIS SECTION CAREFULLY. IT CONTAINS IMPORTANT LIMITATIONS ON OUR LIABILITY.

CalSpace provides nutritional information, calorie estimates, and dietary data for general informational and wellness purposes only. This information is NOT medical advice and should NOT be used as a substitute for professional medical, dietary, or clinical nutrition advice.

Our AI-powered food scanning feature provides estimates based on visual recognition and machine learning. These estimates may not be fully accurate. Actual nutritional values may vary significantly based on brand, preparation method, portion size, regional variations, and other factors.

CalSpace is not a medical device, is not regulated as a medical device, and has not been evaluated or approved by any health authority for medical use. If you have or suspect you have a medical condition, eating disorder, metabolic disorder, diabetes, allergies, or any other health condition, consult a qualified healthcare professional before making dietary changes.

By using CalSpace, you expressly acknowledge that: (a) you use the nutritional information at your own risk; (b) CalSpace is not liable for any health outcomes, injury, illness, or harm resulting from your reliance on the information provided; and (c) you are solely responsible for all decisions regarding your diet, nutrition, and health.

6. User Conduct

By using CalSpace, you agree NOT to:

- Post, share, or transmit content that is defamatory, abusive, harassing, threatening, obscene, hateful, or discriminatory

- Bully, harass, intimidate, or harm other users

- Post content that promotes eating disorders, extreme dieting, self-harm, or dangerous dietary practices

- Post content that infringes on any third party's intellectual property rights, including photos, images, or text you do not own or have rights to

- Impersonate any person or entity or misrepresent your affiliation with any person or entity

- Post spam, unsolicited advertising, or promotional content in Spaces or community features

- Attempt to gain unauthorised access to other users' accounts or data

- Use the Service for any illegal purpose or in violation of any applicable laws

- Reverse engineer, decompile, or attempt to extract the source code of the app

- Share, distribute, or resell your account access to any third party

7. User-Generated Content

CalSpace includes social features including Spaces, friends feeds, and community posts where users can share content.

- Ownership: You retain ownership of the content you post. By posting content, you grant CALSPACE PTE. LTD. (UEN: 202620894C) a non-exclusive, worldwide, royalty-free, sublicensable licence to use, display, reproduce, and distribute your content within the Service.

- Responsibility: You are solely responsible for all content you post. CalSpace does not endorse, verify, or take responsibility for user-generated content.

- No Liability: CalSpace is not liable for any content posted by users, including defamatory, offensive, inaccurate, or harmful content.

- Intellectual Property: You represent and warrant that you own or have the necessary rights to all content you post and that posting such content does not infringe any third party's rights.

- Reporting: Users may report content that violates these Terms by contacting support@calspace.ai. We will review reports and take appropriate action at our discretion.

- Removal: We reserve the right to remove any user-generated content at any time without notice if we determine it violates these Terms or is otherwise inappropriate.

8. Spaces and Community Features

Spaces are private or semi-private groups where users can share meals, progress, and messages with others.

- Space creators are responsible for managing the conduct within their Space

- CalSpace is not responsible for interactions, disputes, or harm arising between users within a Space

- We reserve the right to dissolve or moderate any Space that violates these Terms

- Content shared within Spaces is subject to the same rules as all other user-generated content on the platform

9. Intellectual Property

All content, features, and functionality of the CalSpace Service — including but not limited to the app design, logo, graphics, text, software, and AI models — are owned by CALSPACE PTE. LTD. (UEN: 202620894C) and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal, non-commercial use. You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our express written permission.

10. Third Party Services and Links

The Service integrates with third party services including Apple Health, Apple in-app purchases, and AWS. Your use of these services is governed by their respective terms and privacy policies. CalSpace is not responsible for the practices, content, or availability of any third party service. Any links posted by users within Spaces or community features are not endorsed by CalSpace and we accept no responsibility for third party content.

11. Apple Health Integration

CalSpace may request permission to read from and write to Apple Health. This integration is entirely optional and requires your explicit consent. Health data accessed through Apple Health is used solely to provide you with the features of the Service and is never sold to third parties or used for advertising purposes. You may revoke this permission at any time in your iPhone Settings.

12. Indemnification

You agree to indemnify, defend, and hold harmless CALSPACE PTE. LTD. (UEN: 202620894C) and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third party rights, including intellectual property rights; (d) any content you post on the Service; or (e) any harm caused to another user through your conduct on the platform.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CALSPACE PTE. LTD. (UEN: 202620894C) DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF NUTRITIONAL DATA, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CALSPACE PTE. LTD. (UEN: 202620894C) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

- Health outcomes, illness, injury, or physical harm arising from use of nutritional data

- Inaccuracies in AI-generated food recognition or nutritional estimates

- Loss of data, content, or account access

- Harm arising from interactions with other users in Spaces or community features

- Defamatory, offensive, or harmful content posted by other users

- Service interruptions, outages, or technical failures

In jurisdictions that do not allow the exclusion or limitation of liability for certain damages, our liability is limited to the maximum extent permitted by law. In no event shall our total liability to you exceed the amount you paid to us in the 12 months preceding the claim.

15. Account Suspension and Termination

We reserve the right to suspend or permanently terminate your account at our sole discretion, with or without notice, if we determine that you have:

- Violated these Terms of Use

- Engaged in abusive, harassing, or harmful behaviour toward other users

- Posted content that violates third party rights or applicable laws

- Engaged in fraudulent activity or attempted to manipulate the platform

Upon termination, your right to use the Service ceases immediately. We are not liable for any loss resulting from account suspension or termination.

16. Content Reporting and Moderation

If you encounter content on CalSpace that you believe violates these Terms, infringes your rights, or is otherwise harmful, you may report it by contacting support@calspace.ai. We will review all reports and take action at our discretion. We are not obligated to remove content or take action on every report, and our decisions regarding content moderation are final.

17. Privacy

Your use of the Service is also governed by our Privacy Policy, available at calspace.ai/privacy. By using the Service, you agree to the collection and use of your information as described in the Privacy Policy.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the effective date and, where appropriate, notifying you via email or in-app notification. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.

19. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, it shall be referred to and finally resolved by the courts of Singapore. Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.

21. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and CALSPACE PTE. LTD. (UEN: 202620894C) with respect to the Service and supersede all prior agreements, understandings, and representations.
